Welcome to RecCenterOS("we," "us," or "our"), operated by RecCenterOS, based in Kathmandu, Nepal. By accessing or using our platform ("Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, please do not use our Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts under the laws of Nepal to use RecCenterOS. By registering, you represent that you meet these requirements.
2. Account Registration
2.1 Account Creation
To use most features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized account access
- Accept responsibility for all activities under your account
2.2 Account Types
We offer different account types: Owner, Staff, Member, and SuperAdmin. Each role has specific permissions and limitations described in your plan.
3. Free Trial & Subscription Plans
3.1 Free Trial
We offer a 14-day free trial for new customers. No credit card is required to start the trial. At the end of the trial, you may choose to subscribe to a paid plan or your account will become read-only.
3.2 Subscription Plans
We offer multiple subscription tiers (Starter, Pro, Enterprise) with different features and limits. Plan details and pricing are available on our pricing page.
3.3 Billing & Renewals
- Subscriptions are billed monthly in Nepali Rupees (NPR)
- Payment is collected via Khalti, eSewa, or bank transfer
- Subscriptions auto-renew unless cancelled before the renewal date
- Failed payments enter a 14-day grace period, after which the account may be suspended
3.4 Upgrades & Downgrades
You may upgrade your plan at any time through your account dashboard. Plan upgrades require approval and payment verification by our team. Downgrades take effect at the end of the current billing cycle.
4. Acceptable Use
You agree NOT to use RecCenterOS to:
- Violate any laws or regulations of Nepal or any jurisdiction
- Infringe on intellectual property rights
- Transmit harmful code, viruses, or malicious software
- Attempt unauthorized access to our systems
- Engage in fraud, money laundering, or illegal activities
- Send spam, harass others, or impersonate any person or entity
- Scrape, copy, or reverse-engineer our platform
- Resell, sublicense, or redistribute our Service without consent
5. Your Content & Data
5.1 Ownership
You retain all rights to the content and data you upload to RecCenterOS("Customer Data"), including member information, booking records, and business data.
5.2 License to Us
You grant us a limited, non-exclusive license to host, store, and process your Customer Data solely to provide the Service.
5.3 Data Export
You may export your data at any time through your account dashboard or by contacting us. We provide standard formats (CSV, JSON).
6. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance. We are not liable for downtime caused by:
- Internet service provider issues
- Third-party services (Khalti, eSewa, Cloudinary, etc.)
- Force majeure events (natural disasters, government actions)
- Your own network or hardware failures
7. Payment Processing
We integrate with third-party payment processors (Khalti, eSewa, and bank transfers). By using payment features, you also agree to the terms of those services. We are not responsible for failures, delays, or disputes related to third-party payment providers.
8. Intellectual Property
The RecCenterOS platform, including all software, designs, logos, text, and content, is owned by RecCenterOS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
9. Termination
9.1 Cancellation by You
You may cancel your subscription anytime through your account dashboard or by emailing us. Cancellations take effect at the end of the current billing period. No refunds are provided for unused time (see our Refund Policy).
9.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay fees when due (after the 14-day grace period)
- Engage in fraudulent or illegal activities
- Pose a security risk to our platform or other users
9.3 Effect of Termination
Upon termination, your access ends immediately, but you may export your data for 30 days. After 30 days, data may be permanently deleted from our active systems (backups retained for 90 days for legal compliance).
10. Disclaimers
RecCenterOSIS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
11. Limitation of Liability
To the maximum extent permitted by Nepali law, RecCenterOSshall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.
Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold RecCenterOS harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any rights of third parties.
13. Changes to Terms
We may update these Terms occasionally. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
14. Governing Law & Disputes
These Terms are governed by the laws of Nepal. Any disputes shall be resolved exclusively in the courts of Kathmandu, Nepal. Before pursuing legal action, parties agree to attempt good-faith negotiation.
